Testing Date. Shall mean (a) for purposes of Section 5 of Exhibit A to this Note, the last day of the calendar month preceding the calendar month in which Borrower requests a disbursement of the Holdback (as hereinafter defined), and (b) for purposes of the Cash Management Agreement, March 31, June 30, September 30, and December 31 of each calendar year, with the first such Testing Date commencing as of March 31, 2003.
