This Agreement

This Agreement. (a) Upon the effectiveness of this Amendment, each reference in the Purchase Agreement to "this Agreement," "hereunder," "hereof," "herein" or words of similar import shall mean and be a reference to the Purchase Agreement as amended by this Amendment.

This Agreement. Unless otherwise specifically defined herein, each term used herein which is defined in the Intercreditor Agreements shall have the meaning assigned to such term in the Intercreditor Agreements. Each reference to "hereof", "hereunder", "herein" and "hereby" and each other similar reference and each reference to "this Agreement" and each other similar reference contained in the Intercreditor Agreements shall from and after the date hereof refer to the Intercreditor Agreements as amended hereby.

This Agreement. References in the Agreement to the "AGREEMENT" or "THIS AGREEMENT" and other similar references shall be deemed to refer to the Agreement as amended by this Amendment.

This Agreement. All references in the Credit Agreement to "this Agreement" and ----------- any other references of similar import shall henceforth mean the Credit Agreement as amended by this Agreement.

This Agreement. Shall, unless the context otherwise requires, refer to the Amended Credit Agreement

This Agreement. The Note Purchase Agreement as amended hereby
