Example Definitions of "Three Year Average EBITDA"
Three Year Average EBITDA. Means the EBITDA of the Company for the thirty-six (36) month period beginning on April 1, 2000 (the "Three Year Period") divided by three (3); provided, however, that notwithstanding any other provision set forth in this Agreement, in no event shall the Three Year Average EBITDA exceed $7,500,000.
