TIDE Committee

TIDE Committee. Shall mean a committee of the Board of Directors of the Corporation comprised of those Directors who (i) are "independent directors" within the meaning of Rule 4200(a)(15) of the NASDAQ listing requirements and (ii) are not an Acquiring Person or an Affiliate or Associate of an Acquiring Person.
