Total and Permanent Incapacity. The term "Total and Permanent Incapacity" shall mean the existence of any physical or mental condition with respect to a Director of the Company which is expected to continue for 180 days or more and which renders such Director incapable of performing (as confirmed by competent medical evidence) any substantial portion of the duties properly assigned to such Director.
