Total Capitalization
Total Capitalization. Total Capitalization means, at the date of any determination thereof, the sum of (a) all Indebtedness of the MLP and its subsidiaries, determined on a consolidated basis in accordance with GAAP plus (b) Consolidated Net Worth.
