Total Contractual Compensation. Means the total gross value of any and all contractual compensation-related amounts that the Board attributes to you with respect to the applicable calendar year (including, inter alia, any salary, bonuses, pool allocations, and non-discretionary payments in any form (whether cash, non-cash (e.g., a Grant Award), stock, other marketable securities, or otherwise)), whether pursuant to the Employment Agreement, this Amended and Restated Bonus Pool Letter, or otherwise.
