Total Payments. Shall mean the sum of the Termination Payment and any other payments in the nature of compensation (as defined in Section 280G of the Code and the regulations adopted thereunder) to or for the benefit of the Executive, the receipt of which is contingent on a Change of Control and to which Section 280G of the Code applies.
