For each Calendar Year in the Performance Period, the shares outstanding of the Company's primary common equity security, including any restricted shares outstanding, but excluding any treasury shares, as of the last day of such Calendar Year, as reported in the Company's Annual Report on Form 10-K for such Calendar Year.
