Trading Activities. Shall mean any of the following: (a) any Short Sales involving the Company's securities; (b) the establishment of or change in any "put equivalent position" with the meaning of Rule 16b-3 of the 1934 Act with respect to the Company's securities; and (c) any other transactions in the securities of the Company. -5-
