Trading Conditions

Trading Conditions. As used herein Trading Conditions shall mean: (i) the Underlying Shares issuable as a result of the Call Notice are authorized and reserved for issuance upon conversion or exercise of the Note and Warrant to be issued (the "Put Underlying Shares"); (ii) the Put Underlying Shares are registered for resale by Holder in an effective registration statement filed with the Commission; and (iii) the Common Shares are still traded on a Trading Market;
