Transaction EBITDA

Transaction EBITDA. Means the portion of EBITDA that is expected to be included in or excluded from, as applicable, the Company's Actual Adjusted EBITDA for a Plan Year solely as a result of a merger, acquisition, disposition or similar transaction, as determined by the Administrator, in its sole discretion, at the time of the closing of such transaction.
