Example Definitions of "Transaction Expenses"
Transaction Expenses. Means any and all expenses owed by the Company relating to this transaction, including, but not limited to, amounts due to attorneys, accountants, auditors and investment advisors.
Transaction Expenses. Means all fees, costs, expenses and disbursements, incurred by the Minority Stockholders, AE, or RTC in connection with the transactions contemplated by this Agreement, the Merger and the other agreements referenced or provided for herein, including, without limitation: (a) the fees and expenses of any legal counsel retained by AE or RTC; (b) the fees and expenses of any accountants; (c) any fees and expenses of any other counsel, accountants, financial advisors or other similar professionals... with respect to services rendered to RTC or AE in connection with the transactions contemplated by this Agreement. Transaction Expenses. All of the out-of-pocket costs and expenses incurred by RE/MAX Inc. in connection with (i) the initial public offering of RE/MAX Inc.'s Class A Common Shares pursuant to a firm commitment underwritten public offering pursuant to a registration statement on Form S-1, or (ii) any subsequent issuances of RE/MAX Inc.'s Class A Common Shares.
Transaction Expenses. Any liability or obligation of any Company or any of their Affiliates for any investment banking fees, financial advisory fees, brokerage fees, commissions, finder's fees, attorneys' fees and expenses, accountants' fees and expenses or similar fees incurred by any Company in connection with the transactions contemplated by this Agreement. "Transaction Expenses" shall not include Data Conversion Costs.
