Transactions

Transactions. The transactions set forth in the Agreement and Plan of Merger by and among Holdings, Marquee Inc. and AMCE, dated as of July 22, 2004 and the transactions related thereto.

Transactions. Means collectively, the execution, delivery and performance by the Company of this Agreement, the Registration Rights Agreement and the Notes on each Closing.

Transactions. The BANK'S deferred deposit transactions in which, for consideration, the BANK will accept a check and hold the check for a period of time prior to deposit or presentment in accordance with an agreement with the maker of the check

Transactions. Those certain deferred deposit transactions as provided under Kentucky and other applicable law

Transactions. Means the purchase of the Purchased Rights by the Purchaser for the Considerations paid thereof, and all the other transactions contemplated by this Agreement and the other Transaction Documents and the debt repayments made by TT in accordance with this Agreement.

Transactions. The Acquisition, the Equity Offering, the Financings, transactions for which Transaction Services are provided and any other transactions contemplated by CD&R Inc.'s Consulting Agreement or the Amended and Restated Consulting Agreement

Transactions. Shall have the meaning set forth in the second recital of this Amendment.

Transactions. Means the Acquisition, the borrowing of the Series A New Term Loans on the Effective Date, the Refinancing and the payment of related fees and expenses.
