Transferee

Transferee. Or Transferees means the persons, trusts or entities to whom the Registrable Securities are transferred (i) by gift to a member of Holder's immediate family or to a trust, the beneficiary of which is an Holder or a member of an Holder's immediate family, (ii) by virtue of the laws of descent and distribution upon death of any Holder, (iii) pursuant to a qualified domestic relations order, or (iv) pursuant to a transfer of record ownership whereby there is no change in beneficial ownership

Transferee. Means the recipient of a Transfer.

Transferee. Has the meaning set forth in paragraph 6 of this Agreement.

Transferee. Means any member of the Participant's immediate family (i.e., his or her children, step-children, grandchildren and spouse) or one or more trusts for the benefit of such family members or partnerships in which such family members are the only partners.

Transferee. Shall mean any transferee of the Series A-2 Preferred or ---------- the Series B Preferred or Conversion Shares from either a Series A-2 Holder or a Series B Purchaser (as the case may be). Transferees shall not include a transferee of Series A-2 Preferred or the Series B Preferred or Conversion Shares sold in either a public offering pursuant to a registration statement under the Securities Act or pursuant to a Rule 144 Transaction.

Transferee. Shall mean any Person to whom any Holder or any Transferee thereof transfers Registrable Securities.

Transferee. Shall mean the first holder of Registrable Securities by a transfer from a Holder or an Affiliate of a Holder provided, however, that a Person acquiring such Registrable Securities pursuant to a transfer under an effective registration statement or pursuant to a sale under Rule 144 shall not be a Transferee.

Transferee. Means any Person (as defined in the Investment Agreement) to whom any Holder or any Transferee thereof transfers Registrable Securities.

Transferee. Shall mean any Person (including a Permitted Transferee) to whom the Grantee wishes to Transfer any Shares.

Transferee. Any holder of Telcom/Columbia/Spectrum Shares and Telcom/Columbia/Spectrum Units received pursuant to a Transfer.
