Transition Committee

Transition Committee. Auxilium, Ipsen and Transferee will form a joint committee to manage the successful and prompt transition of the marketing, sale and distribution of the Product from Ipsen to Transferee (the "Transition Committee"). The Transition Committee shall not have the right to amend this Termination Agreement. Any decision of the Transition Committee shall be taken unanimously. The Transition Committee shall conduct regular telephone conference meetings to exchange status updates and to discuss strategy.
