TSI Closing. TSI wishes to dissolve and liquidate immediately following the TSI Closing (as such term is defined herein), at which time all of the remaining assets of TSI, including without limitation the TSI Stock Consideration (as such term is defined herein), shall be distributed to Teligent, as the sole stockholder of TSI (the "TSI Liquidation");
