UCC. Shall mean the Uniform Commercial Code as in effect in the State of New York at any time; provided, that if, by reason of mandatory provisions of law, the validity or perfection of the Buyer's security interest in any item of Pledged Collateral is governed by the UCC as in effect in a jurisdiction other than New York, "UCC" shall mean the UCC as in effect in such other jurisdiction for purposes of the provisions hereof relating to such validity or perfection.
