Underlying Entity Governing Documents. Means, with respect to any Applicable Asset, the Underlying Entity Agreements of the applicable Underlying Entity and any other instrument that governs or regulates the terms of Seller's ownership of such Applicable Asset, including any certificate of incorporation, articles of incorporation, certificate of formation, bylaws, regulations or other similar instrument.
