Underutilization Fee

Underutilization Fee. The fee equal to (i) .000959% (35 basis points per annum) times (ii) the amount by which the Advances outstanding under the Inventory Facility are less than Fifteen Million Dollars ($15,000,000), for each day during the Accounting Period that such Advances are less than Fifteen Million Dollars ($15,000,000).
