Underwritten Public Offering

Underwritten Public Offering. A public offering of such securities registered under the Securities Act in which an underwriter, placement agent or other intermediary participates in the distribution of such securities, including a Hedging Transaction in which a Hedging Counterparty participates

Underwritten Public Offering. Means a public offering of Common Stock for ---------------------------- cash that is offered and sold in a registered transaction on a firm commitment underwritten basis through one or more underwriters, all pursuant to an underwriting agreement among InterCept, any selling shareholders and such underwriters.

Underwritten Public Offering. Means an underwritten Public Offering of Company Common Stock consummated pursuant to an effective registration statement under the Securities Act.

Underwritten Public Offering. Shall mean an offering of shares of Common Stock through one or more investment banking firms that is registered with the Commission in which the net proceeds received by the Company exceeds $25 million.

Underwritten Public Offering. A public offering in which the Common Stock is offered and sold on a firm commitment basis through one or more underwriters, all pursuant to an underwriting agreement to which I/O and the underwriters, among others, are parties

Underwritten Public Offering. An underwritten Public Offering, including any bought deal or block sale to a financial institution conducted as an underwritten Public Offering.

Underwritten Public Offering. The offering, at the sole discretion of the Holding Company, of Conversion Stock not subscribed for in the Subscription Offering or any Community Offering or Syndicated Community Offering, to members of the general public through one or more Underwriters on a firm commitment basis. An Underwritten Public Offering may occur following or concurrently with the Subscription Offering or any Community Offering or Syndicated Community Offering.
