Unexercised Discount
Unexercised Discount. Shall mean, on any given date, the number of shares of Common Stock issuable upon conversion of this Note calculated by multiplying (a) the number of Out-of-Money Options that have not been exercised as of such date by (b) thirty-percent (30%).
