U.S. Qualified Persons

U.S. Qualified Persons. Those persons that (i) are defined as U.S. persons in Section 7701(a)(3) of the Code and (ii) are U.S. citizens or entities organized under U.S. federal or state laws which are not owned, controlled or influenced, directly or indirectly, by a foreign person (or term of like meaning) under the National Industrial Security Program Operating Manual (or any successor document) as amended from time to time
