Utilization Fee Rate
Utilization Fee Rate. Shall have the meaning assigned to such term in the 364-Day Credit Agreement; provided, however, that if on any date -------- ------- of determination no fee will accrue under Section 2.08(b) of the 364-Day Credit Agreement, the Utilization Fee Rate on such date of determination shall, for purposes of this Agreement only, be deemed to be zero.
