Valuation Process CutOff Date

Valuation Process CutOff Date. Means the earliest to occur of (i) Seller's failure to notify Buyer of its election to avail itself of the Valuation Process within the time period specified in clause (ii) of the definition thereof; (ii) the date on which the sale of the Purchased Securities pursuant to the Valuation Process is consummated; and (iii) the 30th calendar day following the date of Buyer's notice to Seller pursuant to clause (i) of the definition of Valuation Process.
