Valuation Trigger Date

Valuation Trigger Date. The first date on which data is available to confirm that the Company's Adjusted EBITDA for the immediately preceding four consecutive fiscal quarters is at least equal to $100 million; provided, that the Valuation Trigger Date shall in no event be later than the fourth anniversary of the Effective Date.
