Vested Appreciation Amount

Vested Appreciation Amount. Shall mean, on the day of determination (i) the excess of the Closing Value as of such day over the Base Amount multiplied by (ii) the quotient obtained by dividing the number of vested Equity Appreciation Units held by the Participant as of such day by one million.
