Vesting Date Fair Market Value

Vesting Date Fair Market Value. Equal to the sum of: (i) the average closing price per share of Forestar common stock for the forty trading day period ending immediately prior to the Vesting Date; and (ii) Reinvested Dividends. Notwithstanding the foregoing or anything in this Award Agreement to the contrary, in the event of a Change in Control the Vesting Date Fair Market Value per share of Forestar common stock shall be equal to the per share consideration provided in such Change in Control, plus Reinvested Dividends.
