Viavi Ratio. Means a ratio equal to 1.7902, which is the quotient obtained by dividing (i) the Pre-Distribution JDSU Stock Price, by (ii) the Post-Distribution Viavi Stock Price (as such terms are defined by the Employee Matters Agreement).
