Video Transaction

Video Transaction. Shall mean, whether effected directly or indirectly, in one transaction or in a series or combination of transactions, the purchase or acquisition by, or the transfer to, a third party unaffiliated with Harmonic Inc., of all or substantially all of the assets, properties or businesses of either (i) the Company's Video business operating segment (comprising the SaaS business ("SaaS Business") and the appliance business) (together, the "Video Business") or (ii) the SaaS Business, that occurs on... or before December 31, 2024 (the "Video Transaction Deadline Date").
