Voluntary Resignation

Voluntary Resignation. Shall occur when the Award Recipient voluntarily ceases Service (including, with respect to Service as a director of the Company, because Optionee resigns from the Board for any reason or no reason, elects not to stand for re-election to the Board or is not re-elected to the Board by the shareholders of the Company. For the avoidance of doubt, a Voluntary Resignation shall not occur as a result of termination of Service as a result of death or Disability (as provided hereunder).

Voluntary Resignation. Shall mean Executive's termination of his employment at any time, for any reason, by the Executive, other than by reason of Involuntary Termination, death or Disability.

Voluntary Resignation. Shall mean termination of Executive's employment with the Company at Executive's voluntary discretion, and shall specifically exclude all instances of Involuntary Termination.

Voluntary Resignation. Means Borrower's voluntary termination of employment with Company for any reason other than reasons that would constitute an Involuntary Termination.

Voluntary Resignation. The voluntary termination of employment or service by a Service Provider.

Voluntary Resignation. Means a termination of this Agreement by Executive on account of retirement or other employee-initiated termination which does not constitute a Constructive Termination or Good Reason Resignation.

Voluntary Resignation. Means any termination of employment that is not involuntary and that is not the result of the employee's death, disability, early retirement or retirement.

Voluntary Resignation. Shall mean any termination of Executive's employment with the Company upon such Executive's own initiative, including Executive's retirement, provided, however, that if such Executive's salary, title, duties, or benefits are materially reduced subsequent to or in anticipation of a Change of Control, such resignation by the Executive shall not be deemed a "Voluntary Resignation."

Voluntary Resignation. Shall mean Vice Chairman's termination of his employment at any time, for any reason, by the Vice Chairman, other than by reason of Involuntary Termination, death or Disability.

Voluntary Resignation. A "Voluntary Resignation" shall have occurred if the Executive terminates his employment with Invacare by voluntarily resigning at his own instance without having been requested to so resign by Invacare, except that any resignation by the Executive will not be deemed to be a Voluntary Resignation if, at the time of that resignation, the Executive had Good Reason to resign.
