Voting Agreements. Means separate agreements between each Supporting Holder and the Company, under which, among other things, each Supporting Holder separately agrees to vote in favor of each of the proposals to be included in the proxy statement (the "Preliminary Proxy Statement") to be filed by the Company with respect to a special meeting (the "Special Meeting") of stockholders to be held following the Closing, with respect to: (i) increasing the Company's share authorization, (ii) approving a reverse share... split, upon a failure to meet the Nasdaq continued listing standards as described therein (iii) allowing the settlement of all share deliveries proposed under the New Second Lien Convertible Notes, and (iv) approving the amendment and restatement of the Company's 2018 Equity Incentive Plan.
