WARN Act Breach

WARN Act Breach. The termination by the Equity Holder or Seller, or any of their Affiliates, of any employee in a manner that has or reasonably may trigger any liability under the WARN Act, or any similar state or local Law, in connection with the Pharmacy Closure, including any failure to comply with any notice or filing requirements under the WARN Act and any similar state or local Law with respect thereto.
