Warrant Exercisability Trigger. A moment in time immediately prior to the first to occur of: (i) a Deemed Liquidation Event (as defined in the Company's certificate of incorporation); (ii) any optional conversion of the Notes pursuant to Section 3.1 thereof; (iii) any optional conversion of the Notes pursuant to Section 3.2 thereof; (iv) any mandatory conversion of the Notes pursuant to Section 3.3 thereof or (v) the Maturity Date (as defined in the Notes).
