Wherify Merger

Wherify Merger. Means the merger of Wherify Acquisition, Inc. with and into Wherify Wireless, Inc. pursuant to the Agreement and Plan of Merger, dated as of April 14, 2004, among the Company, Wherify Acquisition, Inc. and Wherify Wireless, Inc., as amended prior to the date hereof.
