Wind Down Resolution

Wind Down Resolution. Means a resolution adopted by the Board to liquidate and wind down the PC Systems Business. The term "wind down" is intended by the Parties to be interchangeable with the term "wind up," and may include, without limitation, every act necessary by the Company to "wind down" or "wind up" the business and affairs of the PC Systems Business within the meaning of applicable law and as determined appropriate by the Board under the circumstances.
