Withdrawal Certificate

Withdrawal Certificate. Means a certificate of the January 2001 Trustee to the Collateral Agent notifying the Collateral Agent that upon the occurrence of a scheduled Interest Payment Date with respect to the January 2001 Notes, the January 2001 Trustee had applied to withdraw funds from the January Security Account to make such payment and (ii) that there had been a shortfall in the amount contained in such account.
