WITHHOLDING AMOUNT
WITHHOLDING AMOUNT. Means the minimum amount of withholding taxes including Federal, state and local income taxes and social security and Medicare taxes required to be withheld by the Company by the applicable taxing authorities, as the result of the exercise of an Option.
