Example Definitions of "Working Capital"
Working Capital. The inventory of Foxtail Foods shall be determined by a physical inventory taken by the Company at each facility of Foxtail Foods on Friday, September 16, 2005 and Saturday, September 17, 2005 (with such determination rolled forward to the Closing Date in a commercially reasonable manner). Purchaser and its representatives shall have the right to observe such physical inventory.
Working Capital. Means as of the date of measurement, the sum of cash, cash equivalents, accounts receivable, inventory, prepaid expenses and other current assets, less the sum of accounts payable, bank overdrafts, accrued expenses and liabilities payable within one year of the date of measurement. For purposes of clarification, the terms set forth in this definition shall have the meanings assigned to them under GAAP.
Working Capital. Means the difference between the value of current assets (excluding cash and cash equivalents) and current liabilities (excluding current portions of long-term debt and accrued interest thereon and deferred tax obligations) of SM&P. Working Capital for the months of February 2007 through January 2008 are as shown on the attached Section 2(c) of the Disclosure Schedule. Working Capital for any other months will be determined in accordance with the calculations set forth on the attached Section... 2(c) of the Disclosure Schedule, applied on a basis consistent with the SM&P Financial Statements; provided, however, that in calculating the component line items of "Working Capital", no effect shall be given to any assets, liabilities or obligations related to (i) any transactions between SM&P, on one hand, and the Seller or its Affiliates, on the other hand (excluding accounts receivable related to locating services provided by SM&P for Affiliates of Seller), other than those set forth on Section 2(c) of the Disclosure Schedule, (ii) any purchase accounting or other similar adjustments resulting from the consummation of the transactions between SM&P, on one hand, and the Seller or its Affiliates, on the other hand, (iii) any accrual with respect to any expenses related to the transactions between SM&P, on the one hand, and the Seller or its Affiliates, on the other hand, other than any amounts due as a result of any Tax Allocation Agreement, (iv) any Tax assets or Tax liabilities, arising outside of the Ordinary Course of Business, resulting from or in connection with the consummation of the transactions contemplated by this Agreement and (v) the New Laptops Expenditure. Working Capital. Shall have the meaning ascribed thereto in the Management Agreements.
Working Capital.
