Year 3 RSUs

Year 3 RSUs. Means a number of RSUs equal to thirty-eight and nine-tenths percent (38.9%) of the aggregate RSUs subject to the Award, representing those RSUs that are eligible to vest upon the attainment of the Year 3 Performance Metrics (as defined and set forth on Exhibit A).
