Yearend Shares

Yearend Shares. Means, with respect to any Participant for a fiscal year, the average of the number of Shares assigned to the Participant as of each day during the fiscal year; provided, a Participant shall be considered as having no Shares on each day that the Participant is not actively employed by the Company.
