Yield Reserve

Yield Reserve. In Exhibit I shall be amended by deleting " (less the Applicable Margin)".

Yield Reserve. The definition of "Yield Reserve" in Section 1.1 of the Transfer and Administration Agreement is hereby amended and restated in its entirety as follows: ""Yield Reserve" means, as of any date of determination, an amount equal to (a) the product of (i) 1.5 times (ii) the Days Sales Outstanding in effect on such date times (iii) the sum of the Base Rate in effect on such date (as determined by the Agent) plus 2%, divided by (b) 360, multiplied by (c) the Net Pool Balance on such date."
