Affiliate

Affiliate. Means, with respect to a Person, any other Person that directly or indirectly, through one or more intermediaries, Controls, is Controlled by, or is under common Control with, such Person. For purposes of this Agreement, (i) NantHealth and its Subsidiaries shall not be deemed to be Affiliates of NantOmics and (ii) NantOmics and its Affiliates shall not be deemed to be Affiliates of NantHealth.

Affiliate. The meaning assigned to the term "affiliate" under Rule 12b-2 of the Act.

Affiliate. (i) Vantiv, Inc.; (ii) Vantiv Holding, LLC; (iii) any entity that, directly or indirectly, is controlled by the Company or any of the foregoing; and (iv) any entity in which the Company or any of the foregoing has a significant equity interest, in each case as determined by the Board or the Committee.

Affiliate. Means, with respect to either Asterias or Cognate, any corporation, company, partnership, joint venture and/or firm which controls, is controlled by or is under common control with Asterias or Cognate, as the case may be. As used in the definition of Affiliate, "control" means (a) in the case of corporate entities, direct or indirect ownership of more than fifty percent (50%) of the stock or shares having the right to vote for the election of directors (or such lesser percentage that is the... maximum allowed to be owned by a foreign corporation in a particular jurisdiction), and (b) in the case of non-corporate entities, the direct or indirect power to manage, direct or cause the direction of the management and policies of the non-corporate entity or the power to elect more than fifty percent (50%) of the members of the governing body of such non-corporate entity; provided, however, that, as applied to Asterias, the terms of clause (b) will apply equally to corporate as well as non-corporate entities. Affiliate. Shall have the meaning assigned to this term in paragraph (a)(1) of Rule 144

Affiliate. Any "subsidiary" or "parent" corporation (within the meaning of Section 424 of the Code) of the Company.
