Affiliate. 1.1Affiliate.

Affiliate. Affiliate means a corporation, trade or business that, together with the Company, is treated as a single employer under Code Section 414(b) or (c).

Affiliate. Shall have the meaning ascribed to it in the Stockholders Agreement.

Affiliate. Any entities or persons directly or indirectly controlling, controlled by, or under common control with a party, where "controlled," "controlled by," and "under common control with" means the direct or indirect ability or power to direct or cause the direction of management policies of such entity or otherwise direct the affairs of such entity or person, whether through ownership of voting securities, by contract or otherwise.

Affiliate. Shall have the meaning ascribed to it in the Series C Purchase Agreement.

Affiliate. Means, with respect to a Party, any corporation or other legal entity that, at any time, directly or indirectly, Controls, is Controlled by, or is under common Control with such Party (but only as long as such Control exists). For the purpose of this definition, the term "Control" means (i) the beneficial ownership (whether direct or indirect) of more than fifty percent (50%) of the voting power of an entity or (ii) in the case of an entity that does not have outstanding voting shares or... securities, the majority (i.e., more than fifty percent (50%)) of the equity interests in such entity is now or hereafter owned or controlled by another entity, either directly or indirectly. Affiliate. Has the meaning set forth in the CIC Severance Plan.

Affiliate. Means, as to any Person, any other Person that, directly or indirectly, controls, or is controlled by, or is under common control with, such Person; provided, however, that the Partnership and its subsidiaries shall not be deemed to be Affiliates of Madison or any of its affiliates or any portfolio company in which Madison or any of its Affiliates has an investment (whether debt or equity).
