Affiliate

Affiliate. Has the meaning assigned to such term in Rule 405 under the Act

Affiliate. Means with respect to a Person, any other Person which directly or indirectly controls, or is controlled by, or is under common control with such Person. For purposes of the preceding sentence, "control" of a Person shall mean the possession, directly or indirectly, of the power to direct or cause the direction of the management or policies of such Person, or direct or indirect ownership (beneficially or of record) of, or direct or indirect power to vote, 50% or more of the outstanding shares... of any class of capital stock of such Person (or in the case of a Person that is not a corporation, 50% or more of any class of equity interest). Affiliate. Means, with respect to any specified Person, any other Person who, directly or indirectly, controls, is controlled by, or is under common control with such Person, including, without limitation, any general partner, managing member, officer, director or trustee of such Person or any venture capital fund, investment fund, registered investment company or asset manager now or hereafter existing that is controlled by one or more general partners, managing members or investment advisers of, or... shares the same management company or investment adviser with, such Person; any wholly-owned subsidiary of such Person; or any direct or indirect wholly-owned subsidiary of the ultimate parent entity of such Person. In addition to the foregoing, NFLS Beta Limited shall be considered an affiliate of Pivotal bioVenture Partners Fund I, L.P. ("Pivotal"). In addition to the foregoing, Four Pines Master Fund LP shall be considered an affiliate of Rock Springs Capital Master Fund LP (together, "Rock Springs Capital"). Notwithstanding the foregoing, with respect to Novo Holdings A/S, in lieu of the above definition, the term "Affiliate" shall mean Novo Ventures (US), Inc. and Novo Holdings Principal Investments (US), Inc. (together with Novo Holdings A/S, "Novo"), any partner, executive officer or director of Novo or any venture capital fund, asset manager or other Person now or hereafter existing formed for the purpose of making investments in other Persons that is controlled by or under common control with Novo, and for the avoidance of doubt, shall not include any other affiliate of Novo. Affiliate. With respect to a Party, any corporation, company, partnership, joint venture and/or firm which controls, is controlled by or is under common control with such Party, for so long as such control exists.

Affiliate. Shall mean with respect to any Person, any other Person that directly or indirectly, through one or more intermediaries, controls, is controlled by or is under common control with such specified Person. For the purposes of this definition, control shall mean the holding, directly or indirectly, of 50% (fifty percent) or more of either the voting rights or rights to distribution of profit attaching to the share capital, stock or other participating interest.

Affiliate. Means an entity that now or hereafter, directly or indirectly, controls or is controlled by or is under common control with a Party to this Agreement whether by beneficial ownership, contract, or otherwise.

Affiliate. Of the Licensee means any entity which, directly or indirectly, Controls the Licensee, is Controlled by the Licensee or is under common Control with the Licensee.

Affiliate. Affiliate as such term is defined in Rule 12b-2 of the Securities Exchange Act of 1934, as amended.

Affiliate. Means, with respect to any Person, any "affiliate" of such Person, as such term is defined in the Bankruptcy Code; provided, however, notwithstanding the foregoing, none of the direct or indirect holders of any equity interest in Parthenon Investors III, L.P., PCap Associates, Parthenon Capital Partners Fund, L.P., Parthenon loanDepot Partners, LP, Parthenon Capital Partners Fund II, LP, or Parthenon Investors IV, LP (which six companies are, as of the date of this Agreement, the owners of all... of the stock of LD Investment Holdings, Inc.) or any entity "controlling" or "controlled by" or "under common control with" any direct or indirect holders of any equity interest in any of those three named companies (other than LD Investment Holdings, Inc., Seller or Seller's Subsidiaries), shall constitute an "Affiliate" of Seller or any of its Subsidiaries. Affiliate. Of a Person means any other Person that, as of the Effective Date and at any time during the Term, directly or indirectly, through one or more intermediaries, controls, is controlled by, or is under common control with, such Person. The term control for purposes of this Agreement means the power to direct or cause the direction of the management and policies of a Person, whether through the ownership of voting securities, by contract, or otherwise/direct or indirect ownership of more than fifty... percent (50%) of the voting securities of a Person, and controlled by and under common control with have correlative meanings. For the avoidance of doubt, any Person that is not an Affiliate as of the Effective Date, but later becomes an Affiliate of Licensee through any transaction or series of related transactions will be deemed to be an Affiliate of Licensee for purposes of this Agreement.
