Affiliate

Affiliate. An entity, other than a Subsidiary or Parent, which (i) is under the control of the Company, (ii) controls the Company or (iii) is, together with the Company, under the common control of a third person or entity.

Affiliate. A person that is directly, or indirectly through one or more intermediaries, controlled by, or is under common control with, an DiGiandomenico Party, including, for the avoidance of doubt, persons who become Affiliates subsequent to the date of this Agreement, provided, however, for the avoidance of doubt the term Affiliate will not include any direct or indirect employees, consultants or agents of an DiGiandomenico Party

Affiliate. A person that is directly, or indirectly through one or more intermediaries, controlled by, or is under common control with, an MDB Party, including, for the avoidance of doubt, persons who become Affiliates subsequent to the date of this Agreement, provided, however, for the avoidance of doubt the term Affiliate will not include any direct or indirect employees, consultants or agents of an MDB Party

Affiliate. Any corporation or other entity (including, but not limited to, partnerships, limited liability companies and joint ventures) controlled by GECM or under common control with GECM or its parent. Control means ownership of a majority of the equity interests, the right to elect a majority of the board of directors, managing member or other governing body or the right to control (by contract or otherwise) the affairs of such entity.

Affiliate. A subsidiary of the Company that would be described in the first sentence of Treas. Regs. § 1.409A-1(b)(5)(iii)(E)(1)

Affiliate. Of a Person means any Person that, directly or indirectly, through one or more intermediaries or otherwise, controls, is controlled by, or is under common control with such Person, where control means the ability to direct management or policies through the ownership of voting securities, by contract or otherwise. Affiliate. Means and includes any person, corporation or other entity controlling, controlled by or under common control with the person, corporation or other entity in question, determined in accordance with Rule 12b-2 under the Securities Exchange Act of 1934, as amended.

Affiliate. Each and every direct or indirect parent or subsidiary of the Company, as well as any entity that is under common control with the Company

Affiliate. Any of the following: (a) any "affiliate" as defined under Rule 12b-2 of the Securities Exchange Act of 1934, as amended, (b) any individual or entity who directly or indirectly controls, is controlled by or is under common control with the specified individual or entity, and (c) any pair of entities or an individual and an entity in which one of the two parties (in such pair) owns, directly or indirectly, at least twenty percent (20%) of the outstanding equity interests of the other party.
