Affiliate

Affiliate. The meaning set forth in Rule 12b-2 promulgated under the Exchange Act; provided, that none of the Company or its Affiliates or Representatives, on the one hand, and the Barington Parties and their Affiliates or Representatives, on the other hand, shall be deemed to be "Affiliates" with respect to the other for purposes of this Agreement

Affiliate. Of a Person means any Person controlling, controlled by, or under common control with, such Person. For purposes of this definition, control means the power to direct the management and policies of a Person, whether through the ownership of voting securities, by agreement or otherwise

Affiliate.
