Affiliate

Affiliate. Means any company, partnership or other entity which directly or indirectly Controls, is Controlled by or Is under common Control with the relevant Party.

Affiliate. Has the meaning ascribed to such term in Rule 12b-2 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), and the rules and regulations of the Securities and Exchange Commission (the "Commission") thereunder (the "Exchange Act Rules") as in effect on the date hereof (the term "registrant" in Rule 12b-2 meaning in this case the Company or Chai Trust, as the case may be); except that, for the purposes of this Agreement, the Company and its subsidiaries shall not be deemed to be... Affiliate. Means, with respect to any Person, any other Person that directly or indirectly controls, is controlled by or is under common control with such Person. As used herein, the term "control" means: (i) the power to vote at least fifty percent (50%) of the voting power of a Person, or (ii) the possession, directly or indirectly, of any other power to direct or cause the direction of the management and policies of such a Person, whether through ownership of voting securities, by contract or otherwise.

Affiliate. Means, with respect to any specified Person, any other Person that, directly or indirectly, through one or more intermediaries, controls, is controlled by or is under common control with such specified Person; "control" means the ownership, directly or indirectly, of more than 50% of the voting securities entitled to vote for the directors (or similar officials) of a Person or the possession, by contract or otherwise, of the authority to direct the management and policies of a Person.

Affiliate. Any corporation, partnership, joint venture or other entity in which the Company holds an equity, profit or voting interest of thirty percent (30%) or more; provided, however, that with respect to Awards granted on or after May 5, 2006 "Affiliate" shall mean any corporation, partnership, joint venture or other entity in which the Company holds an equity, profit or voting interest of more than fifty percent (50%)

Affiliate.
