Affiliate

Affiliate. Shall have the respective meanings given those terms in Rule 12b-2 of the General Rules and Regulations under the Securities Exchange Act of 1934, as in effect on the date hereof.

Affiliate. With respect to any specified person, any person that directly, or indirectly through one or more intermediaries, controls, is controlled by or is under common control with the person specified. The term "Affiliated" shall have a correlative meaning.

Affiliate. Means, with respect to any person (the "first party"), any other person that directly or indirectly controls, is controlled by, or is under common control with the first party. For purposes of this definition, the term "controls," "is controlled by," or "is under common control with" shall mean the possession, direct or indirect, of the power to direct or cause the direction of the management and policies of a person, whether through the ownership of voting securities, by contract, or otherwise.

Affiliate. Of any specified person means any other person directly or indirectly controlling or controlled by or under common control with such specified person. For purposes of this definition, Control when used with respect to any person means the power to direct the management and policies of such person, directly or indirectly, whether through the ownership of voting securities or otherwise; and the term controlling and controlled having meanings correlative to the foregoing. Affiliate. Means and includes any entity that directly or indirectly controls, is controlled by, or is under common control with Customer, where control means the ownership of, or the power to vote, at least twenty percent (20%) of the voting stock, shares or interests of such entity. An entity that otherwise qualifies under this definition will be included within the meaning of Affiliate even though it qualifies after the execution of this Agreement.
