Amendment. Subject to the satisfaction of the conditions precedent set forth in Section 3 hereof, the Letter Loan Agreement is hereby amended as follows:(a) Section 1(f)(ii) of the Letter Loan Agreement is amended by deleting the phrase "$25,000,000 over the term of this Agreement" in subsection (x) and it replacing with "$300,000,000 from and after the First Amendment Effective Date". (b) Section 4(b) is hereby amended in its entirety to read as follows: [Reserved]. (c) Exhibit A to the Letter Loan... Agreement is hereby amended by:(i) deleting the defined term "Springing Maturity Date". Amendment. Or Termination

Amendment. Effective as of the effective date hereof and subject to the satisfaction of the conditions precedent set forth in Section 3 hereof, the Reimbursement Agreement is hereby amended as follows: The definition of "Facility Termination Date" set forth in Section 1.1 of the Reimbursement Agreement is deleted in its entirety and the following is substituted in lieu thereof: "Facility Termination Date" means September 10, 2004.

Amendment. Any capitalized terms used, but not defined, in this Amendment shall be deemed to have the same meanings as are respectively ascribed to each such term in the Contribution Agreements.

Amendment. To Paragraph 2(a) of Senior Preferred Stock (Relating to Dividend Payment Dates and Dividend Periods)

Amendment. To Section 1 (Relating to Definition of New Defined Term "Executive Officer"). Section 1 of the Amended and Restated Agreement is hereby amended to insert the following new defined term and corresponding definition after the definition of the term "Exchange Act":

Amendment. For purposes of this Amendment, capitalized terms used but not otherwise defined in this Amendment will have the meaning ascribed to such terms in the Program Agreement.
